Haynes and Boone Assists Fossil in Acquisition of Skagen Designs

DALLAS – A team of Haynes and Boone, LLP attorneys assisted Fossil, Inc. in its just-announced agreement to acquire Skagen Designs, Ltd. and certain of its international affiliates for approximately $225 million in cash and 150,000 shares of Fossil common stock. The acquisition, which is subject to certain conditions, including regulatory approval, is expected to be finalized in February.    

Randy S. Hyne, Fossil’s vice president and general counsel, led the transaction, assisted by a Haynes and Boone deal team that included Dallas partners Tom Harris and Garrett A. DeVries, and associates David J. Colletti Jr. and Mark J. Robinson Jr.

Haynes and Boone Announces Class of 2012 Partners

Haynes and Boone Appellate Lawyers Achieve Victory in San Antonio Court of Appeals

SAN ANTONIO – A team of Haynes and Boone, LLP lawyers successfully represented Keystone-Texas Property Holding Corporation in an appeal arising out of a failed sale of the Marriott Rivercenter Hotel.

Keystone owned the land underlying the hotel, and HMC Hotel Properties II Limited Partnership leased the land from Keystone. HMC later sued Keystone for breach of the lease as Keystone was set to close an agreement to sell the land to a third party. After the sale fell through, Keystone filed counterclaims against HMC for slander of title and tortious interference with contract.

Haynes and Boone Advises AT&T in $1.1 Billion Mexican Exchange Offer

DALLAS – Haynes and Boone, LLP has successfully assisted AT&T International, Inc. in an exchange offer launched by America Móvil, S.A.B. de C.V. to acquire the capital stock of Teléfonos de México, S.A.B. de C.V. (Telmex) it does not already directly or indirectly own.

AT&T tendered its share participation in Telmex in a transaction valued at about US$1.1 billion. The public offer was launched Oct. 11 on the Mexican and New York stock exchanges and closed Nov. 11.
